Mutual NDA Request
A simple two-way confidentiality route for sharing sensitive maritime information before valuation, advisory review, chartering assessment, or transaction discussion.
Red Dot Marine / RdM may request or provide a mutual Non-Disclosure Agreement where a matter involves non-public vessel information, counterparty details, pricing expectations, chartering requirements, mandate discussions, technical records, commercial assumptions, or other sensitive maritime information.
Important note: The draft NDA is intended as a practical commercial confidentiality document for maritime discussions. It is not legal advice and does not replace independent legal review where a party requires bespoke terms, specific jurisdictional advice, non-circumvention wording, or transaction-specific protections.
1. Purpose of the Mutual NDA
Maritime enquiries often require disclosure of information that should not be circulated casually. This may include vessel particulars, ownership or counterparty details, pricing expectations, commercial strategy, chartering requirements, cargo movement assumptions, inspection records, financing context, mandate status, or internal decision-making information.
RdM’s approach is built around clarity before commitment. A mutual NDA helps both sides exchange necessary information with discipline, defined purpose, and a clear understanding that sensitive material should be used only for the relevant maritime discussion.
2. When an NDA May Be Useful
Ship Valuation
- Before sharing vessel identity or sensitive technical information.
- Where valuation is linked to financing, negotiation, sale, purchase, dispute, or internal review.
- Where non-public documents or pricing expectations are involved.
Ship Broking
- Before disclosing buyer, seller, owner, charterer, or vessel identity.
- Where authority-chain, mandate, brokerage recognition, or inspection access requires controlled handling.
- Where a party wants confidentiality before transaction discussion begins.
Chartering & Advisory
- Before sharing cargo, route, freight, port, timing, or vessel-fit assumptions.
- Where a feasibility review involves sensitive commercial planning.
- Where pre-deal review may involve KYC / KYB, counterparty, or mandate information.
3. What the Mutual NDA Generally Covers
The draft Mutual NDA is designed as a practical two-way confidentiality document. Subject to final wording and party review, it generally addresses:
- Two-way confidentiality: both parties protect each other’s non-public information shared for the relevant maritime purpose.
- Permitted use: information is used only to evaluate, discuss, review, or support the relevant opportunity, valuation, advisory matter, chartering check, or transaction discussion.
- Need-to-know access: information is shared only with personnel, representatives, advisers, consultants, or support parties who reasonably need access and are expected to observe suitable confidentiality standards.
- Exclusions: information already public, independently developed, lawfully received from another source without confidentiality restriction, or approved for release is generally excluded.
- Compelled disclosure: disclosure may be permitted where required by law, regulator, court, authority, sanctions / AML requirement, or legal process, with notice where lawful and practical.
- Return or destruction: confidential material may be returned, deleted, or destroyed on request, subject to legal, audit, compliance, tax, accounting, dispute-resolution, or legitimate record-retention requirements.
- Duration: confidentiality obligations commonly survive for three (3) years, with longer protection where information qualifies as trade secrets or remains commercially sensitive.
- No licence or agency: the NDA does not transfer intellectual property, create a partnership, create agency, confirm brokerage entitlement, or create a transaction obligation unless separately agreed in writing.
- Governing law: the standard draft is prepared on a Singapore law basis, with Singapore courts as a non-exclusive venue unless modified by agreement.
4. Draft NDA Documents
You may review the draft NDA before submitting a request. These drafts are provided for convenience and may require adjustment depending on the transaction, parties, governing law, non-circumvention requirements, or commercial context.

5. Request a Countersignable NDA
Complete the short form below and RdM will review the request and, where appropriate, send a pre-filled mutual NDA for e-signature or PDF signing.

6. Information Required for NDA Preparation
To prepare a countersignable NDA, RdM may require the following information:
Entity Details
- Legal entity name.
- Registration number.
- Registered address and country.
- Website or company profile, where relevant.
Signatory & Project Details
- Authorised signatory name and designation.
- Work email address.
- Project or reference, for example valuation, S&P, chartering, advisory, or vessel-related review.
- Preferred signing method: e-signature or PDF.

7. Important Notes
- The NDA is intended for commercial diligence and information exchange in maritime matters. It is not legal advice.
- RdM may review the requested purpose before issuing or countersigning an NDA.
- RdM may decline or defer an NDA request where the party, purpose, authority chain, mandate basis, or transaction context is unclear.
- Where required, a non-circumvention annex or separate NCNDA may be considered for co-brokerage or multi-party intermediary arrangements.
- An NDA does not create a mandate, commission entitlement, broker appointment, transaction obligation, agency relationship, partnership, exclusivity, or commitment to proceed unless separately agreed in writing.
- Personal data is handled in accordance with our Privacy Policy.
- Commercially sensitive information is handled in accordance with our Confidentiality Policy.
- Counterparty, authority-chain, sanctions, AML, and related review matters are subject to our KYC / KYB & Sanctions Disclaimer.
